Who can set up a company in Andorra?
Any foreign investor can own 100% of the share capital of an Andorran company. However, a foreign investment authorisation is mandatory if the main shareholder is not a resident. The company must also demonstrate a genuine economic presence, with a registered office in Andorra and, in some cases, a local employee.
Share capital and tax obligations
- SL (Limited Liability Company): €3,000 minimum
- SA (Public Limited Company): €60,000 minimum
Companies must keep compliant accounts, file their annual accounts and comply with tax regulations (corporate income tax of 10% and local VAT at 4.5%).
